Terms of Service

Village is software that helps volunteer boards run their associations well. These terms set the rules for using it — including the important point that Village is a tool, not your association's lawyer, accountant, or fiduciary.

1. Acceptance

By creating an account or using the Services, you agree to these terms and to our Privacy Policy. If you use Village on behalf of an association, you represent that you are authorized to bind that association to these terms.

2. The Services & accounts

Village provides tools for document management, communications, maintenance tracking, governance and voting, meeting minutes, compliance tracking, and (in the future) payments. Sign-in is by secure email link; you are responsible for keeping access to your email account secure and for activity under your account.

3. Associations, admins & members

An association is created by an individual who attests they are an authorized officer, director, or declarant. That person becomes an administrator and may invite and approve members and other administrators. Administrators control association settings and records; members have role-based access. Village is not responsible for how an association's administrators configure access, make decisions, or govern their community.

4. Not legal or financial advice

Village provides software and informational tools only. Compliance items, statutory references, notice-window calculations, reserve figures, and similar features are informational aids, may not reflect the current law applicable to you, and are not legal, financial, tax, accounting, or fiduciary advice. Your board remains solely responsible for its own legal and fiduciary obligations, and should consult qualified professionals. Reliance on Village does not discharge any duty owed by an association or its directors.

5. Your content

Your association owns the content it uploads and creates. You grant Village a limited license to host, process, and display that content solely to operate the Services. You are responsible for having the rights to the content you upload and for its accuracy. You can export your content at any time.

6. Acceptable use

Don't use Village to break the law, infringe others' rights, upload malware, harass or defame, attempt to breach security or access other associations' data, or misuse communications features (including spam). User-generated content such as message boards and comments must follow these rules; we may remove content or suspend accounts that violate them. See also our copyright/takedown process below.

7. Payments (future)

When online payments launch, dues and fees are processed by a third-party payment processor under its own terms. Funds flow between homeowners and their association; Village facilitates but does not take custody of association funds unless expressly stated. Card payments may carry a convenience fee disclosed at checkout. Late fees and fines are set by your association's adopted policies, not by Village. Additional payment terms will be presented before you use those features.

8. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Village does not warrant that the Services will be uninterrupted, error-free, or that informational features are accurate or current.

9. Limitation of liability

To the maximum extent permitted by law, Village will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or goodwill. Nothing limits liability that cannot be limited by law.

10. Termination & data export

You may stop using Village at any time and export your records first. We may suspend or terminate access for violations of these terms or to protect the Services. We will not hold an association's records hostage: export in open formats is available while your account is active, and we will provide a reasonable means to retrieve data around termination where feasible.

11. Governing law & changes

These terms are governed by the laws of California, without regard to conflict-of-laws rules. We may update these terms; material changes will be posted here with a new effective date, and continued use constitutes acceptance. Questions: legal@villagehoa.co.
